1. Introduction
Pathshala provides a school management platform designed for private schools in India. These Terms of Service ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Services").
By accessing or using Pathshala, you agree to be bound by these Terms. If you are using the Services on behalf of a school or organisation, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use our Services.
2. Description of Services
Pathshala offers a cloud-based school management platform that includes, but is not limited to: student information management, attendance tracking, fee management, payment processing, communication tools (SMS, email), timetable management, exam management, staff management, and reporting.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will endeavour to provide reasonable notice of material changes when practicable.
3. Account Registration and Responsibilities
To use Pathshala, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorised access or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Schools are responsible for ensuring that staff and parent accounts are created and managed appropriately, and that users comply with these Terms.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
Use the Services in any way that violates applicable laws or regulations.
Transmit any harmful, offensive, or illegal content, or content that infringes the rights of others.
Attempt to gain unauthorised access to the Services, other accounts, or our systems.
Interfere with or disrupt the integrity or performance of the Services.
Use the Services to send spam, unsolicited communications, or bulk messages except as permitted by the platform.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive or illegal conduct.
5. Fees and Payment
Certain features of Pathshala may be subject to fees as described on our pricing page or in your subscription plan. By subscribing to a paid plan, you agree to pay all applicable fees in accordance with the billing terms in effect at the time of purchase.
Fees are generally billed in advance (e.g., monthly or annually). We may change our pricing with reasonable notice. Continued use of paid features after a price change constitutes acceptance of the new pricing.
You are responsible for any taxes applicable to your use of the Services. We may suspend or terminate access to paid features for non-payment of fees.
6. Intellectual Property
Pathshala and its content, features, and functionality (including but not limited to software, design, text, graphics, and logos) are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your school's internal operations in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works of our platform without our prior written consent.
7. User Content and Data
You retain ownership of the data you upload or create in Pathshala ("User Content"), including student records, fee data, and other school information. By using the Services, you grant us a licence to store, process, and display your User Content solely for the purpose of providing and improving the Services.
You are responsible for ensuring that you have the right to upload User Content and that it does not violate any third-party rights or applicable laws. We do not claim ownership of your data and will not use it for purposes other than providing the Services, except as described in our Privacy Policy.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. You use the Services at your own risk. We are not responsible for any decisions you make based on data or reports generated by the platform.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Pathshala and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Services.
Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred Indian Rupees (₹100), whichever is greater.
10. Indemnification
You agree to indemnify, defend, and hold harmless Pathshala and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party rights or applicable laws.
11. Termination
You may close your account at any time by contacting us. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms.
Upon termination, your right to use the Services ceases immediately. We may retain your data for a limited period as described in our Privacy Policy. You may request export or deletion of your data by contacting us.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in India.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date.
Your continued use of the Services after changes constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Services and may close your account.
